Terms of Service

These Terms of Service ("Terms") govern your use of the Warranly application ("Warranly", "the app", "the service") provided by Warranly ("we", "us", "our"). By installing or using Warranly, you agree to be bound by these Terms.


1. Service description

Warranly is a self-managed extended warranty application for Shopify merchants. The app enables merchants to create, sell, and manage warranty plans for their products through their Shopify storefront.

Warranly is not an insurance product. Merchants who sell warranty plans through Warranly act as the warranty provider and are solely responsible for honoring the terms of their warranties, processing claims, and complying with applicable consumer protection and insurance regulations in their jurisdictions.

Warranly offers a free plan and paid subscription plans. All paid plans are billed through Shopify's Billing API in US dollars. You authorize Shopify to charge your payment method on file for the subscription fees plus any applicable overage charges.

Subscription fees are non-refundable except where required by law. You may cancel or downgrade your subscription at any time through the app or your Shopify admin.

Overage charges

Paid plans include a monthly allowance of warranty sales. Sales exceeding this allowance are billed at the per-sale overage rate disclosed in your active plan. Overage charges accrue daily and are included in your next Shopify invoice.

As the warranty provider, you are responsible for:

6. Intellectual property

Warranly and all related trademarks, logos, software, and content are the exclusive property of Warranly or its licensors. You receive a limited, non-exclusive, non-transferable license to use the app while your subscription is active.

You retain all rights to your store data, product information, and customer data. We claim no ownership over content you input into the app.

7. Service availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (including Shopify), or other factors beyond our control may cause downtime. We are not liable for losses resulting from service interruptions.

8. Limitation of liability

To the maximum extent permitted by law, Warranly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities, arising out of or related to your use of the app.

Our total cumulative liability for any claim arising from these Terms or your use of Warranly shall not exceed the total subscription fees paid by you to Warranly in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless Warranly, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

You may terminate your use of Warranly at any time by uninstalling the app from your Shopify admin. Upon termination:

We may terminate or suspend your account for material breach of these Terms with reasonable notice.

11. Changes to terms

We may update these Terms from time to time. Material changes will be notified through the app or via email at least 14 days before taking effect. Continued use of Warranly after changes constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of Ukraine. Any disputes arising from these Terms or your use of Warranly shall be resolved through binding arbitration or in the courts of Kyiv, Ukraine, except where required otherwise by mandatory local consumer protection laws.
